16. TEXAS-SPECIFIC LEGAL NOTES

Procuring Cause Doctrine: When a commission agreement is silent on post-termination rights, Texas courts apply the "procuring cause" doctrine. Under this standard, an employee is entitled to commissions on sales even after termination if the employee was the proximate and but-for cause of the sale. This Agreement should explicitly address post-termination entitlements to avoid application of this default rule.

Wages Include Commissions: Under Tex. Labor Code § 61.001, "wages" include compensation computed on a commission basis. Earned commissions are entitled to the same protections as other wages.

Payday Requirements: Tex. Labor Code § 61.015 requires commissions be paid in the same timely manner as other wages. After separation, earned commissions must be paid by the sixth calendar day (involuntary) or next regular payday (voluntary).

Filing Complaints: Employees may file wage claims with the Texas Workforce Commission within 180 days of the date wages became due.

At-Will Employment: Texas is an at-will employment state. This Agreement does not create a guarantee of continued employment.


17. GENERAL PROVISIONS

Entire Agreement: This Agreement constitutes the entire agreement between the parties concerning commission compensation and supersedes all prior agreements on this subject.

Severability: If any provision is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Amendment: This Agreement may only be amended in writing signed by both parties.

Counterparts: This Agreement may be executed in counterparts, each of which shall be deemed an original.
