1.1 Purpose & Relationship
Brand engages Ambassador to serve as an official brand ambassador and spokesperson, representing Brand and its products/services in various capacities including but not limited to:

1.2 Ambassador Status

1.3 Nature of Relationship
Ambassador is an independent contractor. This Agreement does not create an employment, partnership, joint venture, or agency relationship. Ambassador shall not represent themselves as an employee or agent of Brand except as expressly authorized.
2. AMBASSADOR ROLE & RESPONSIBILITIES
2.1 Primary Responsibilities
Ambassador agrees to:
Brand Representation:

2.2 Availability Requirements
Ambassador shall be reasonably available for:

3. CONTENT CREATION OBLIGATIONS
3.1 Minimum Content Requirements

3.3 Campaign Participation
Ambassador shall participate in [NUMBER] major campaigns per year as designated by Brand, with deliverables specified in individual Campaign Briefs.
3.4 Content Quality Standards
All content shall:
(a) Reflect Ambassador's authentic voice and style;
(b) Meet technical quality standards (resolution, lighting, audio);
(c) Align with Brand's visual and messaging guidelines;
(d) Include proper FTC disclosures (see Section 5);
(e) Not include competitor products or brands (see Section 6);
(f) Be original or properly licensed;
(g) Comply with all platform terms of service.
3.5 Content Approval Process

☐ Selective Pre-Approval: Only campaign content and new messaging require approval. Regular content following established guidelines does not require pre-approval.

In addition to required content, Ambassador may organically mention Brand when authentic and appropriate, subject to FTC disclosure requirements.
3.7 Content Minimum Duration
Posted content must remain live for a minimum of:

4. APPEARANCES & EVENTS
4.1 Event Commitment

5. FTC COMPLIANCE & DISCLOSURE REQUIREMENTS
5.1 Material Connection Acknowledgment
The Parties acknowledge that Ambassador's relationship with Brand constitutes a "material connection" under the Federal Trade Commission's Endorsement Guides (16 CFR Part 255). Ambassador receives compensation and/or free products in exchange for promoting Brand, which must be disclosed.
5.2 Mandatory Disclosure - All Paid Content
Ambassador MUST clearly and conspicuously disclose the paid relationship in ALL sponsored content.
5.3 Approved Disclosure Formats
Required - Use One:
- "#Ad" or "#Advertisement"
- "#Sponsored" or "#SponsoredBy[BRAND]"
- "#[BRAND]Partner" or "#[BRAND]Ambassador"
- "Paid partnership with [BRAND]" (using platform tools)
- "Ad:" or "Advertisement:" at the start of captions
Acceptable for Ambassadors:
- "#[BRAND]Ambassador" (when clearly indicates paid relationship)
- "Proud [BRAND] Ambassador"
- "As a [BRAND] Ambassador..." with #Ad or #Sponsored
NOT Acceptable:
- "#ambassador" alone (too vague)
- "#partner" alone (ambiguous)
- "#collab" (does not convey payment)
- Disclosures hidden in hashtag lists
- Disclosures after "more" cutoff
- Abbreviations like "sp" or "spon"
5.4 Disclosure Placement Requirements
Social Media Posts:
- At the BEGINNING of captions, visible without clicking "more"
- Not buried among other hashtags
Video Content (TikTok, Reels, YouTube):
- VERBAL disclosure at the start: "I'm partnering with [BRAND]..." or "This is sponsored by..."
- VISUAL disclosure: Text overlay visible for at least 3 seconds
- Both verbal AND visual required
Stories:
- Text overlay clearly visible throughout
- Use platform partnership labels when available
Live Streams:
- Disclosure at the beginning
- Repeat every 30 minutes
- Repeat when substantial new viewers join
Blog/Written Content:
- Clear disclosure at the TOP of the post
- Before any sponsored content begins
- Prominent formatting (bold, separate paragraph)
5.5 Product Gifts & Free Products
Even for "gifted" products, disclosure is required if:
- Ambassador has an ongoing relationship with Brand
- Ambassador received the product free or discounted
- There is any expectation of coverage
Appropriate language: "PR gift from [BRAND]" or "#Gifted"
5.6 Affiliate Links & Discount Codes
If Ambassador shares affiliate links or discount codes:
- Disclosure required that Ambassador may earn commission
- Example: "#AffiliateLink" or "I may earn commission if you purchase"
- Disclose even if also disclosing the ambassador relationship
5.7 Organic Mentions
Even organic, unprompted mentions of Brand require disclosure given the ongoing paid ambassador relationship, unless:
- Ambassador purchased the product at full price; AND
- The mention is unrelated to the ambassador duties; AND
- The mention would occur regardless of the ambassador relationship
When in doubt, disclose.
5.8 Compliance Monitoring
Brand may monitor Ambassador's content for FTC compliance. Ambassador shall:
(a) Promptly correct any non-compliant content upon Brand's request;
(b) Maintain records of all sponsored content for [3] years;
(c) Acknowledge that repeated violations may constitute material breach.
5.9 Training
Ambassador agrees to review FTC guidance materials provided by Brand and participate in compliance training if requested.
5.10 Liability for Non-Compliance
The Parties acknowledge:
- FTC penalties may exceed $53,000 per violation (as of 2025)
- Each non-compliant post may be a separate violation
- Both Ambassador and Brand may be held liable
6. EXCLUSIVITY & NON-COMPETE
6.1 Exclusivity Category
During the Term, Ambassador shall not promote, endorse, create sponsored content for, serve as ambassador for, or otherwise be associated with any brand or company that competes with Brand in the following category(ies):

6.2 Scope of Exclusivity

6.3 Territory

7.8 Taxes

8. INTELLECTUAL PROPERTY
8.1 Content Ownership
Unless otherwise specified:

8.3 Whitelisting/Spark Ads
Brand may run paid advertising through Ambassador's social media accounts ("whitelisting" or "spark ads"):

8.4 Likeness Rights
Ambassador grants Brand the right to use Ambassador's name, image, likeness, voice, and biographical information in connection with promoting Brand.
8.5 Ambassador's Use of Brand IP
Brand grants Ambassador a limited, non-exclusive license to use Brand's trademarks, logos, and approved materials solely for creating content under this Agreement.
8.6 Moral Rights
To the extent permitted by law, Ambassador waives moral rights and consents to Brand's modification of content.
8.7 Post-Termination Rights
Upon termination:

9. BRAND GUIDELINES & CONDUCT STANDARDS
9.1 Brand Guidelines
Ambassador shall comply with Brand's brand guidelines (Exhibit B), including:
- Logo usage and placement
- Color palette and visual standards
- Tone of voice and messaging
- Hashtag and @mention requirements
- Product presentation standards
9.2 Conduct Standards
Ambassador shall:
(a) Conduct themselves professionally in all public interactions;
(b) Not engage in conduct that could damage Brand's reputation;
(c) Not make public statements inconsistent with Brand's values;
(d) Promptly notify Brand of any circumstances that could adversely affect the partnership;
(e) Comply with all applicable laws.
9.3 Social Media Conduct
Ambassador shall not post content that:
- Is defamatory, obscene, or illegal
- Promotes illegal substances or activities
- Is discriminatory or promotes hate
- Is excessively controversial or politically divisive
- Disparages Brand, its products, or its partners
- Violates third-party rights
9.4 Public Statements
Ambassador shall not make public statements on behalf of Brand without prior approval, except for content created under this Agreement.
9.5 Crisis Communications
In the event of a crisis involving Brand or Ambassador:
(a) Ambassador shall not comment publicly without Brand's guidance;
(b) Ambassador shall cooperate with Brand's communications team;
(c) Ambassador shall refer media inquiries to Brand.
10. REPRESENTATIONS & WARRANTIES
10.1 Ambassador Representations
Ambassador represents and warrants:

☐ Authentic audience (no fake followers or engagement)
☐ Disclosed all material relationships with competitors

☐ Has disclosed any pending legal, criminal, or reputational issues

10.2 Brand Representations
Brand represents and warrants:

11. TERM & TERMINATION
11.1 Initial Term
This Agreement commences on the Effective Date and continues for an initial term of [DURATION] (the "Initial Term").
11.2 Renewal
☐ Automatic Renewal: Agreement automatically renews for successive [DURATION] periods unless either party provides written notice of non-renewal at least [NUMBER] days before the end of the then-current term.

11.3 Termination for Convenience

(c) Is convicted of or pleads guilty to a felony;
(d) Engages in conduct that materially damages the other party's reputation.
11.5 Brand's Additional Termination Rights
Brand may terminate immediately if Ambassador:
(a) Repeatedly fails to meet content deliverable requirements;
(b) Repeatedly fails to comply with FTC disclosure requirements;
(c) Engages in public conduct inconsistent with Brand's values;
(d) Makes false or unauthorized claims about Brand's products;
(e) Violates the exclusivity provisions;
(f) Experiences a significant decline in audience (greater than [X]%);
(g) Becomes involved in public controversy that could harm Brand.
11.6 Effect of Termination
Upon termination:
(a) Compensation: Ambassador receives payment for services rendered through termination date;
(b) Pro-Rata Payment: If terminated mid-period, compensation is pro-rated;
(c) Exclusivity: Post-termination exclusivity per Section 6.6 applies;
(d) Content Rights: Per Section 8.7;
(e) Brand Materials: Ambassador shall return/delete Brand's confidential materials;
(f) Ambassador Materials: Ambassador shall remove Brand references from bio/profiles within [NUMBER] days;
(g) Surviving Provisions: Sections 5 (FTC compliance for existing content), 8, 10, 12, 13, 15, and 16 survive.
12. INDEMNIFICATION
12.1 Ambassador Indemnification
Ambassador shall indemnify, defend, and hold harmless Brand and its affiliates, officers, directors, employees, and agents from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from:
(a) Ambassador's breach of this Agreement;
(b) Ambassador's violation of FTC Guidelines or other applicable law;
(c) Content that infringes third-party intellectual property or other rights;
(d) False or unauthorized claims made by Ambassador;
(e) Ambassador's gross negligence or willful misconduct;
(f) Ambassador's violation of the conduct standards.
12.2 Brand Indemnification
Brand shall indemnify, defend, and hold harmless Ambassador from claims arising from:
(a) Brand's breach of this Agreement;
(b) Product liability claims;
(c) Brand-provided claims or materials that are false or infringe third-party rights;
(d) Brand's use of Ambassador's content beyond the scope of this Agreement.
12.3 Procedure
The indemnified party shall provide prompt written notice, permit the indemnifying party to control the defense, and provide reasonable cooperation.
13. CONFIDENTIALITY
13.1 Confidential Information
"Confidential Information" includes: this Agreement's terms, compensation details, unreleased products, marketing strategies, business information, and any information designated confidential.
13.2 Obligations
Each party shall:
(a) Use Confidential Information only for this Agreement's purposes;
(b) Protect with at least reasonable care;
(c) Not disclose without prior written consent.
13.3 Permitted Disclosures
(a) Disclosures required for FTC compliance;
(b) Disclosures to professional advisors (attorneys, accountants);
(c) General acknowledgment of the partnership relationship.
13.4 Duration
Confidentiality obligations survive termination for [2/3/5] years.
14. INSURANCE
14.1 Ambassador Insurance
Ambassador shall maintain (or Brand shall provide):

14.2 Brand Insurance

15. LIMITATION OF LIABILITY
15.1 Cap
EXCEPT FOR INDEMNIFICATION OBLIGATIONS, WILLFUL MISCONDUCT, BREACH OF CONFIDENTIALITY, OR IP INFRINGEMENT, NEITHER PARTY'S TOTAL LIABILITY SHALL EXCEED THE TOTAL COMPENSATION PAID OR PAYABLE DURING THE [12] MONTHS PRECEDING THE CLAIM.
15.2 Consequential Damages
NEITHER PARTY SHALL BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, EVEN IF ADVISED OF THE POSSIBILITY.
15.3 FTC Penalty Acknowledgment

16. DISPUTE RESOLUTION
16.1 Governing Law

Amendments must be in writing signed by both parties.
17.3 Waiver
Failure to enforce any provision is not a waiver.
17.4 Severability
Invalid provisions are severed; the remainder continues.
17.5 Assignment
Ambassador may not assign without Brand's consent. Brand may assign to affiliates or successors.
17.6 Notices
Notices to the addresses above, by email (with confirmation), certified mail, or overnight courier.
17.7 Force Majeure
Neither party is liable for delays due to circumstances beyond reasonable control.
17.8 Counterparts
May be executed in counterparts, including electronically.
17.9 Independent Legal Advice
Each party has had the opportunity to consult with independent legal counsel.
