2. Compensation

4. Employment Status and At-Will Notice
4.1 At-Will Employment. Your employment with the Firm will be at-will, meaning that either you or the Firm may terminate the employment relationship at any time, with or without cause, and with or without advance notice, except as may be required by applicable state law.
4.2 This letter does not constitute an employment contract for a definite period of time. No representative of the Firm other than [Managing Partner / designated officer] has authority to alter the at-will nature of your employment except by written agreement signed by both parties.
4.3 Exempt Status. You will be classified as an exempt professional employee under the Fair Labor Standards Act (FLSA) and applicable state law, and you will not be eligible for overtime compensation.
4.4 Firm Policies. Your employment will be subject to all Firm policies, procedures, and the Associate Handbook (provided at onboarding), which may be updated from time to time. Your continued employment constitutes acceptance of policy changes.
5. Bar Admission Condition
5.1 Bar Admission Required. This offer and your continued employment are conditioned on your admission to the bar of the State of [________________________________] (and any other jurisdiction as specified by your supervising partner).

7. Confidentiality and Professional Obligations
7.1 Client Confidentiality. As a condition of your employment, you agree to maintain the confidentiality of all client information and Firm confidential information, consistent with ABA Model Rule 1.6 and applicable state rules of professional conduct.
7.2 Non-Solicitation. You agree that during your employment and for [____] months following termination, you will not solicit Firm employees to leave the Firm. Note: ABA Model Rule 5.6 prohibits agreements that restrict a lawyer's right to practice law after leaving a firm. Any non-solicitation restriction must be carefully tailored to comply with applicable ethics rules.
7.3 Conflicts of Interest. You agree to disclose all outside legal work, business interests, and relationships that could create conflicts of interest with Firm clients, and to comply with the Firm's conflict-checking procedures.
