Maine Business Corporation Articles of Incorporation Preparation Worksheet
MAINE BUSINESS CORPORATION ARTICLES OF INCORPORATION PREPARATION WORKSHEET
Before you use this: The Secretary of State publishes Form MBCA-6 for a domestic business corporation. This worksheet gathers information for that form. Submit the completed current official form, not this worksheet. See 13-C M.R.S. § 202 for the articles' content.
1. Corporation name
Proposed corporate name: [________________________________]
Alternative name to check if unavailable: [________________________________]
Section 202(1)(A) requires a name satisfying § 401. Section 401(2) generally requires a name distinguishable on the Secretary of State's records. Check name availability before filing.
2. Clerk
Form MBCA-6 asks the filer to choose a commercial or noncommercial clerk. Section 202(1)(C) incorporates the filing information in 5 M.R.S. § 105(1).
☐ Commercial clerk. Name: [________________________________] CRA public number: [________________]
☐ Noncommercial clerk. Name: [________________________________]
Noncommercial clerk physical street address, city, state, ZIP: [________________________________]
Noncommercial clerk mailing address, if different: [________________________________]
Section 105(1)(B) also describes an office or position and business-office address as an alternative where no commercial clerk is used. Ask the filing office how to present that choice on the current form if it applies. Confirm the named clerk's consent before filing; § 105(2) treats the appointment as the corporation's affirmation of that consent.
3. Shares
☐ One share class. Number of authorized shares: [________________]
Optional class name, if used: [________________________________]
☐ Two or more classes or series. Counsel-approved exhibit reference: [________________________________]
For multiple classes, § 202(1)(B) calls for the number of shares and a description of rights in each class under § 601(1). Form MBCA-6 directs the filer to attach the additional class information as an exhibit. Obtain reviewed language before selecting that route.
4. Management and optional articles terms
Form MBCA-6 asks the filer to select one management choice:
☐ The corporation will have a board of directors.
☐ Shareholders will manage without directors; obtain advice on the separate statutory requirements before selecting this option.
For a corporation with directors, the form also offers optional director-number, liability and indemnification choices. It offers optional preemptive-rights and additional-provisions choices. Section 202(2) permits certain additional articles provisions. Record the proposed choice for legal review instead of assuming a checkbox is suitable.
Proposed optional term and reason: [________________________________]
Reviewed exhibit or charter wording reference: [________________________________]
5. Incorporators and special status
Section 202(1)(D) requires each incorporator's name and address. Form MBCA-6 has a signature line for one incorporator and an exhibit option for additional incorporators.
| Incorporator | Name | Address |
|---|---|---|
| 1 | [________________________________] | [________________________________] |
| Additional | [________________________________] | [________________________________] |
Signing incorporator: [________________________________] Date to sign official form: [__/__/____]
☐ Professional corporation may apply; obtain advice on the separate statute and form election.
☐ Benefit corporation may apply; obtain advice on the separate statute and form election.

Corporate documents govern how a company makes decisions, records them, and handles disputes between owners, directors, and officers. Proper corporate paperwork is what lets a business take advantage of limited liability, pass clean audits, and survive an acquisition or investor review. Skipping formalities like written resolutions and signed consents is one of the fastest ways for a business owner to lose personal asset protection.
