What persuades

He applies a strict, textualist approach to contract construction, invoking the same core authority in both of his rulings to date: courts enforce clear and unambiguous language exactly as written and will not add terms the parties omitted, however sympathetic the result for the party facing the omission.

“"We do not supply terms to contracts that are plain and unambiguous, nor do we make a better contract for either of the parties than the one which the parties themselves have created." ... Courts do not have the power to rewrite the contract the parties have made or make a better contract for one party over the other.”

In a merger-doctrine dispute over which pre-closing representations survive a real-estate closing, he reads a contract's express survival clause literally: if the parties wrote that certain warranties 'shall survive the delivery of the Deed and the Closing,' he treats that language as controlling over a general merger argument, without regard to how burdensome the surviving obligation later proves.

“The Court finds that the language used in Section 17.4 of the Agreement is clear and unambiguous and, as such, that the parties intended to provide for survival of the representations and warranties set forth in Section 7 of the Agreement, post-closing, subject to the notice provisions of Section 17.4.”

Procedural preferences

Across both of his published rulings to date, he has been unwilling to grant a dispositive motion before the parties have exchanged discovery, even where the movant's textual arguments appear strong on paper -- he treats materiality, intent, credibility, and reliance as fact-finder questions that a bare-pleadings record cannot resolve.

“At the time this motion was filed, discovery had not yet been conducted. Therefore, the Court finds that genuine issues of material fact exist regarding the facts underlying the criteria to prove a claim for common law fraud, and that the motion is premature at this time.”

When a movant's own papers rely on evidence outside the four corners of the complaint, he converts the motion to one for summary judgment under R. 4:6-2 and applies the full Brill standard, rather than deciding it on the more forgiving pleadings-only standard the movant sought.

“Because the papers submitted in connection with the motion presented matters outside the pleadings, the court converted the motion to one for summary judgment as permitted under R. 4:6-2.”

Cautions

In a multi-party deposit dispute, he declined to let one co-obligor's individual consent to a partial release override the express allocation mechanics of the parties' own agreement -- a reminder that a settling or non-objecting party's cooperation does not, by itself, unlock relief the contract's plain terms do not provide.

“The court finds that no other language is included in Article 3.3 stating that the allocation of the Deposit or Initial Deposit may be allocated prior to closing in the event of a request for return of the Initial deposit, in whole or in part, over the objection of one or more of the entities comprising the Seller.”
