Apply this to your situation
This page covers one taxpayer's ruling, issued in 1999, which can't be cited as precedent. Ask about your situation and see what the current Code and IRS guidance say, with citations.
Plain-English summary
The IRS corrected one step in a ruling it had issued in 1997 about a proposed internal reorganization. The corrected text says that a company contributed another company's stock to a new corporation in exchange for voting common and nonvoting preferred stock. The short letter gives no new tax conclusion and does not reproduce the rest of the earlier ruling.
Ruling snapshot
